These Terms of Use ("Terms") govern your access to and use of YardIQ, a product of True Bearing LLC ("True Bearing," "we," "us," or "our"). By accessing or using the YardIQ service, website, or application (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

YardIQ is an AI-assisted courtesy inspection platform for marine and powersport service dealerships. The Service enables technicians to perform digital multi-point inspections, capture findings with photos and OCR scanning, generate branded inspection reports, and create service work orders. The Service is provided as a cloud-hosted software-as-a-service (SaaS) application.

2. Account Registration and Access

2.1 To use YardIQ, a dealership must register through the self-service onboarding process or be onboarded by True Bearing. Each dealership receives a unique dealer code. Individual technicians access the Service using their dealership's dealer code, their first name, and a 4-digit PIN.

2.2 The dealership manager who registers the account is responsible for managing technician access and ensuring that only authorized personnel use the Service under their dealer code.

2.3 You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.

3. Acceptable Use

You agree to use the Service only for its intended purpose: performing, managing, and documenting courtesy inspections and related service operations at your dealership. You agree not to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any component thereof;
• Copy, modify, distribute, sell, or lease any part of the Service or its content;
• Use the Service to develop a competing product or service;
• Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service;
• Interfere with or disrupt the integrity or performance of the Service;
• Use the Service in any manner that violates applicable law or regulation;
• Submit false, misleading, or fraudulent information through the Service;
• Use automated scripts, bots, or scrapers to access the Service without prior written consent.

4. Subscription and Payment

4.1 YardIQ is offered on a subscription basis. Pricing, billing frequency, trial periods, and introductory rates are as presented at the time of registration and may be updated with notice.

4.2 Payment is processed by Stripe, Inc. ("Stripe"). We do not receive or store your full credit card number, CVV, or other sensitive payment card details. Your use of Stripe is subject to Stripe's own terms of service and privacy policy.

4.3 Subscriptions renew automatically at the end of each billing period. You may cancel at any time through the Stripe customer portal or by contacting us. Cancellation takes effect at the end of the current billing period.

4.4 We reserve the right to change pricing with at least 30 days' written notice. Continued use after a price change constitutes acceptance of the new pricing.

5. Free Trial

5.1 New dealerships may receive a free trial period as offered at the time of registration. During the trial, no payment is required and no credit card is collected unless you choose to provide one.

5.2 At the end of the trial, the subscription will either begin billing (if a payment method is on file) or be cancelled (if no payment method has been provided). You will receive a reminder email prior to the end of your trial.

6. Intellectual Property

6.1 YardIQ, its software, design, methodology, AI prompts, OCR logic, report templates, and all associated intellectual property are owned exclusively by True Bearing LLC. Nothing in these Terms transfers any intellectual property rights to you.

6.2 Inspection data, findings, photos, and reports generated through your use of the Service belong to your dealership. You may use them for your internal business purposes. You may not resell, redistribute, or sublicense YardIQ outputs as a standalone product or service.

7. Data and Privacy

7.1 Inspection data, photos, and related content submitted through the Service are stored securely in cloud infrastructure and are accessible only to authorized users within your dealership and to True Bearing systems necessary to operate the Service.

7.2 We do not sell, share, or disclose your data to third parties except as required by applicable law or as necessary to operate the Service (e.g., cloud hosting, email delivery, payment processing).

8. AI-Powered Features

8.1 YardIQ uses artificial intelligence (AI) and machine learning for OCR scanning (HIN plates, engine stickers, model lettering) and finding suggestions. AI-generated outputs are provided as aids and should be verified by the technician.

8.2 We do not guarantee the accuracy of AI-generated outputs. OCR results, manufacturer lookups, and suggested findings should be reviewed by qualified personnel before reliance.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, timely, secure, or error-free;
• Inspection reports, OCR results, or AI-generated outputs are accurate, complete, or free from error;
• The Service will meet your specific requirements or expectations;
• Any defects in the Service will be corrected.

YardIQ outputs are tools to assist your service operations and do not constitute professional engineering assessments, marine surveys, or safety certifications. All inspection findings should be independently verified by qualified technicians before any repair, service, or customer communication.

10. Limitation of Liability

10.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUE BEARING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR REPUTATION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

10.2 Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to us in the ninety (90) days immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless True Bearing LLC and its officers, employees, agents, and affiliates from any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of:

• Your use of the Service;
• Your violation of these Terms;
• Any inspection, report, or work order generated through your use of the Service;
• Any claim by a third party (including your customers) arising from services performed or not performed based on YardIQ outputs.

12. Service Availability and Modifications

12.1 We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice.

12.2 We will make reasonable efforts to provide advance notice of material changes. We are not liable for any modification, suspension, or discontinuation of the Service.

13. Termination

13.1 You may terminate your account at any time by cancelling your subscription and ceasing use of the Service.

13.2 We may suspend or terminate your access to the Service immediately if you violate these Terms, fail to pay fees when due, or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

13.3 Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period for backup, archival, or legal compliance purposes.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in North Carolina, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before the changes take effect. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and True Bearing LLC regarding your use of YardIQ and supersede all prior agreements, representations, and understandings.
